By The Edge : Tanco formalises land deal for Port Dickson Free Zone, sets stage for phased development

KUALA LUMPUR (Aug 1): Tanco Holdings Bhd (KL:TANCO) has entered into a supplemental agreement with Menteri Besar Negeri Sembilan (Inc) (MBINS) to formalise the acquisition structure and financing arrangements for the Port Dickson Free Zone (PDFZ).

The move marks a concrete step towards realising the 600-hectare industrial park, following an initial joint venture agreement signed in October last year, said Tanco in a bourse filing on Friday.

Under the revised terms, MBINS has acquired the first 300 acres of the land directly from SD Guthrie Bhd (KL:SDG), formerly known as Sime Darby Plantation Bhd, for RM88.5 million, equivalent to RM6.77 per sq foot.

The land will be held by MBINS on behalf of the joint venture company PDFZ Sdn Bhd, which is jointly owned by Tanco’s indirect subsidiary Tanco Land Sdn Bhd and MBINS.

Upon registration of the land in MBINS’ name, the JV company will commence development of the first phase of the project in accordance with the original joint venture agreement.

MBINS has 12 months from June 24 to secure the landowner’s agreement either to form a second joint venture company with PDFZ Sdn Bhd for the next 300 acres, or to acquire the land directly at the same RM6.77 psf price.

Beyond that, MBINS is expected to use its best efforts to acquire the remaining balance of the 624-hectare site within three years, also at RM6.77 psf, subject to final re-measurement and exclusions for utility corridors.

Under the agreement, Tanco Land will provide shareholder advances to fund the land acquisition and associated costs, subject to corporate and regulatory approvals. MBINS, meanwhile, will facilitate the use of the land as security where required, with indemnities from Tanco Land.

The supplemental agreement clarifies that all payments for the land acquisition, including the purchase price, stamp duties and legal fees, will ultimately be borne by the JV company.

The PDFZ is set to complement Tanco’s proposed smart AI container port in Negeri Sembilan, which has already received approval from the Malaysian Marine Department.

The port, planned on a 194-hectare site owned by Tanco, will feature a 1.8km jetty, a terminal and a container handling area spanning 809,300 sq metres.

Together, the two projects are positioned to strengthen Tanco’s footprint in the state and enhance its role in logistics and industrial development, the group said.

Shares in Tanco closed up 0.5 sen or 0.6% to 84 sen on Friday, giving the company a market capitalisation of RM4.62 billion.

THE Negeri Sembilan Menteri Besar Inc (MBINS) which provides strategic support and partnership opportunities in the state that align with Malaysia’s economic goals has today (June 24) inked two significant agreements with SD Guthrie Bhd (formerly Sime Darby Plantation Bhd).

The event marked a key milestone for the development of the Port Dickson Free Zone (PDFZ), a cornerstone project within the Malaysia Vision Valley 2.0 (MVV 2.0).

The first agreement involves the sales and purchase (S&P) of about 300 acres of strategically located land within SD Guthrie’s Sengkang Estate in Mukim Pasir Panjang, Port Dickson.

Concurrently, MBINS and SD Guthrie have entered into a memorandum of understanding (MOU) to jointly develop an additional 300 acres within the same strategic area.

Collectively, these agreements represent the first two critical phases of the ambitious PDFZ project which is a comprehensive industrial zone covering around 1,420 acres in total.

This industrial area is envisioned to host modern warehouses, advanced manufacturing plants, logistics facilities and essential public infrastructure, that are poised to enhance Negeri Sembilan’s economic landscape.

Strategically aligned with resort-centric property developer Tanco Holdings Bhd’s upcoming Smart AI Container Port (Midport) located adjacent to PDFZ, this development underscores Negeri Sembilan’s ambition to emerge as a key logistics and maritime hub under the MVV 2.0 initiative.

Under an earlier joint venture-cum shareholders agreement, MBINS and Tanco Land Sdn Bhd (TLSB) – an indirect subsidiary of Tanco Holdings – will jointly undertake the development of these initial 600 acres.

MBINS and Tanco Holdings will strategically evaluate various value-unlocking opportunities.

Potential development strategies include further joint ventures, direct developments, targeted land sales and bespoke design-and-build arrangements which are adaptable to future market demands and investor interest.

Negeri Sembilan has increasingly positioned itself as an investment hotspot in recent years by leveraging its proximity to the Klang Valley and the Kuala Lumpur International Airport (KLIA) as well as its competitive land pricing.

Recent major foreign investments in the state which include notable multinational corporations in automotive, food technology and electronics sectors have further underlined its attractiveness.

Analysts believe that PDFZ will contribute significantly to the state’s GDP (gross domestic product) and also boost employment, accelerate industrial growth and attract further local and international investments.

This strategic land deal with SD Guthrie represents a critical step in realising these economic goals and underscores Negeri Sembilan’s rising prominence as a key economic hub within Malaysia. – June 24, 2025

Food Donation for Flood Victims

We have also provided food donations to victims of floods and disasters in December 2024. We understand how devastating these events can be, uprooting dreams, hopes, and homes. While many possessions may be lost to the flood, food remains a vital necessity for recovery after such disasters. Therefore, Tanco supported victims during these challenging times. During our visit, we donated rations valued at a total of RM8,000.00.

KUALA LUMPUR: Tanco Holdings Bhd (THB), through its 79%-owned subsidiary Midports Holdings Sdn Bhd (MHSB), signed a memorandum of agreement (MoA) with CCCC Dredging Southeast Asia Sdn Bhd (CDSA), a subsidiary of China-based CCCC Dredging (Group) Co Ltd (CDCL).

This agreement formalises CDSA’s role as the professional consultant for designing and engineering Malaysia’s first smart artificial intelligence (AI) container port in Port Dickson, Negeri Sembilan.

The agreement establishes the framework for CDSA to provide comprehensive design services for the smart AI port, which includes conceptual design, front-end engineering design (Feed), and detailed engineering.

These services will encompass key aspects such as the wharf, approach bridges, harbour basin, and storage yards, positioning the smart AI container port as a modern infrastructure project that will enhance Malaysia’s role in global maritime logistics.

THB group managing director Datuk Sri Andrew Tan Jun Suan said CDSA’s deep industry expertise and proven track record in global port development will be instrumental in ensuring the successful design and execution of Malaysia’s first smart AI port.

“This project reflects our commitment to innovative infrastructure and enhances Malaysia’s position in international trade,“ he said.

The smart AI container port in Port Dickson is part of THB’s broader vision to establish a modern maritime hub in Southeast Asia, leveraging the latest technologies and AI solutions.

The project is strategically located on a 480-acre landbank, with natural deep-water access exceeding 21 meters, allowing it to accommodate the world’s largest container ships.

Once completed, the port will significantly bolster Malaysia’s logistics infrastructure, creating new industrial zones and fostering economic growth.

In addition, existing and upcoming comprehensive transportation networks, including ECRL, will further enhance Midport as a significant Southeast Asia transhipment hub.

CDCL group chairman and chairman of China Dredging Association Liu Yongman said Malaysia is at the heart of Southeast Asia and a vital part of the Belt and Road Initiative.

Southeast Asia’s population is approximately 696 million.

“Our Midport project is in a strategic area in the middle of the Straits of Melaka. Our partnership with THB for the smart AI container port marks the beginning of a new chapter in bilateral cooperation.

“With our advanced technologies and expertise in dredging and port development, we are confident that this project will enhance Malaysia’s logistics capabilities and contribute to both nations’ prosperity.

We believe that these donations will assist both the orphans and the orphanages in overcoming some of their difficulties. KUALA LUMPUR (Oct 1): Tanco Holdings Bhd (KL:TANCO) said its 79%-owned subsidiary, Midports Holdings Sdn Bhd (MHSB), had received the nod from the Malaysian Marine Department (MMD) to develop a container port in Port Dickson, Negeri Sembilan.

The green light was received through a full and unconditional approval letter on Monday by the MMD, Tanco said, following the acceptance of the marine risk assessment report from MHSB.

Just last Friday, MMD issued a separate approval letter, “with certain conditions for the development and operations” of the proposed port project.

The newest letter, however, “supersedes the previous approval letter”, Tanco said in a filing.

Among the conditions previously underlined included for any changes on the proposed development and operations of the port project “to be informed to and applied with the MMD”.

The latest approval also includes permission for all marine activities as per the port project, Tanco said.

The Negeri Sembilan container port project received a green light from the Ministry of Transport back in January.

The port is to be developed within a 480-acre (194.25 hectares) land bank owned by Tanco, according to its official website. It will feature a 1.8km jetty, terminal and container handling area measuring 809,300 sq m.

On June 6, MHSB signed a memorandum of understanding with China’s CCCC Dredging (Group) Co Ltd to further advance the project.

MHSB’s remaining 21% stake is held by Global Marque Logistics Sdn Bhd, which in turns is 75.23%-owned by MHSB executive director Datuk Chuah Lim Leng.

Shares of Tanco settled up two sen or 1.47% to close at RM1.38 on Tuesday, giving the company a market capitalisation of RM2.47 billion. The counter is up 133.9% this year.
